    Educational Equipment Supplies Ltd – Terms & Conditions of Sale

    Please read these Terms & Conditions (“Terms”) carefully before ordering from Educational Equipment Supplies Ltd (“EES”, “we”, “us”, “our”). By placing an order, you agree to be bound by these Terms.

    1. Definitions

    Business – Any customer purchasing wholly or mainly for trade, business, craft, or professional purposes.
    Consumer – An individual purchasing wholly or mainly for personal use, not in connection with trade, business, craft, or profession.
    Goods – The products and/or services supplied by EES as described in the Order confirmation.
    Order – Your request to purchase Goods from EES.
    Site – Our website at www.ee-supplies.co.uk.

    2. Basis of Contract

    2.1 These Terms apply to all Orders for Goods from EES, whether placed via our Site, by email, or post.
    2.2 No variation to these Terms is valid unless agreed in writing by an authorised representative of EES.
    2.3 We may refuse any Order at our discretion.
    2.4 Any descriptions, images, or specifications on our Site, in catalogues, or other materials are for guidance only and may be subject to change without notice.

    3. Orders & Acceptance

    3.1 Orders may be placed by:
    • Website checkout process
    • Email with official purchase order
    • Agreed written form or quotation acceptance
    3.2 All Orders are subject to acceptance by EES. A contract is formed only when we issue a written Order confirmation.
    3.3 You must check your confirmation carefully. If no corrections are raised within 24 hours, we will process the Order as confirmed.
    3.4 Made-to-order or customised Goods are Non-returnable , non-cancellable and non-refundable once production has commenced.

    4. Prices & Payment

    4.1 Prices are in GBP and exclude VAT unless stated otherwise.
    4.2 Mainland UK delivery (excluding Highlands, Islands, and NI) is included unless otherwise stated.
    4.3 International orders are supplied FCA EES Warehouse UK unless agreed otherwise in writing. Duties, taxes, and clearance costs are the Customer’s responsibility.
    4.4 Payment is due in advance unless credit terms are agreed in writing.
    4.5 Credit accounts must be paid within 30 days from invoice date. Late payments incur statutory interest (Late Payment of Commercial Debts (Interest) Act 1998) and debt recovery costs.
    4.6 We reserve the right to suspend or cancel Orders where payment is overdue.

    5. Delivery

    5.1 Delivery dates are estimates only. We are not liable for delays outside our control.
    5.2 Risk passes on delivery or collection.
    5.3 The Customer must ensure access for delivery and that someone is available to sign.
    5.4 Missed, refused, or inaccessible deliveries may incur:
    • Redelivery fees
    • Storage charges
    • Return transport costs
    5.5 Deliveries may be made in instalments without extra charge.
    5.6 Missing items / deliveries must be reported within 5 days of receipt for a claim to be accepted.
    5.7 Delivery lead times shown on our website are a guide only and are not fixed or guaranteed.
    5.8 We must be informed if the delivery address has limited opening times or is unmanned.
    5.9 We must be informed if there is limit vehicle access.
    6.0 Large furniture and storage item deliveries will be Kerbside only .

    6. International Orders

    6.1 You must inform us before ordering if Goods are to be exported outside the UK.
    6.2 You are responsible for obtaining any required import licences, permits, or clearances.
    6.3 Delivery times for overseas shipments vary by destination and transport method.
    6.4 Any warranties may be limited to UK use (see Clause 9.3).

    7. Returns & Cancellations

    7.1 Consumer Orders
    • Consumers have 14 days from receipt to cancel under the Consumer Contracts Regulations 2013.
    • Goods must be unused, unopened , unassembled, and in original packaging.
    • We will refund the purchase price and standard delivery cost (if applicable), less any collection charges if we arrange return.
    • Please note that in the event an order is cancelled due to customer error or mis-ordering, any card processing fees incurred are non-refundable
    • Minimum admin charge 20% of order value plus collection costs.
    • Some items may have higher cancellation fees please check before ordering
    • Returns are at our discretion.
    • Made-to-order and customised items are non-returnable unless faulty.
    • Some items are marked non-returnable and cannot be returned,  please check before ordering
    • Card fees will not be refunded for order over £350.00 ex-vat

    7.2 Business Orders

    • Returns are at our discretion.
    • Minimum admin charge 20% of order value plus collection costs.
    • Made-to-order and customised items are non-returnable unless faulty.
    • Some items are marked none returnable please check before ordering
    • Some items may have higher cancellation fees please check before ordering
    • Card fees will not be refunded for order over £350.00 ex-vat

    7.3 General Conditions for All Returns

    • Returns require prior authorisation.
    • Goods damaged, assembled, or missing parts will be refused or refunded at reduced value.
    • Non-returnable goods include:
      • Customised/or marked made-to-order items
      • Unsealed software/media
      • Perishable goods
      • Items specifically marked non-returnable at purchase

    8. Damaged or Faulty Goods

    8.1 Damage in transit must be reported within 5 days of delivery, with packaging retained.
    8.2 Faults must be reported within 10 days of receipt unless covered by warranty (see Clause 9).
    8.3 If accepted, we will repair, replace, or refund at our discretion.

    9. Warranty

    9.1 All Goods are warranted for 12 months from delivery to be free from material defects under normal UK usage.
    9.2 The warranty excludes:
    • Fair wear and tear
    • Misuse, neglect, or accidental damage
    • Improper installation
    • Use contrary to instructions or specifications
    • Modifications or unauthorised repairs

    9.3 Use of Goods Outside the UK

    • Goods are manufactured to UK standards unless otherwise agreed in writing.
    • If used abroad, warranty applies only to faults that would have occurred under normal UK conditions.
    • We accept no liability for faults caused by climate, humidity, power variations, or other environmental factors.
    • Overseas claims may require return to the UK at the purchaser’s cost and risk.
    • Where it is shown that the defect would not have occurred in the UK, no repair, replacement, or refund will be given.

    10. Title & Risk

    10.1 Risk passes on delivery or collection.
    10.2 Title passes only when full cleared payment is received for all sums owed.
    10.3 We may recover Goods where title has not passed, with access to premises for collection.

    11. Product Descriptions

    11.1 All descriptions, specifications, and images are for guidance only. Colour, dimensions, and texture may vary.
    11.2 We may make minor changes to improve performance or comply with regulations without notice.
    11.3 Pricing errors may be corrected before fulfilment. We are not obliged to supply at an incorrect price.

    12. Intellectual Property

    12.1 All intellectual property in our Goods, content, and designs remains ours or our licensors’.
    12.2 You may not copy, reproduce, or use our content without written consent.

    13. Website Use

    13.1 Access to our Site is provided “as is” without warranties.
    13.2 We are not responsible for downtime, errors, or third-party links.
    13.3 User accounts must be kept secure; you are responsible for all activity under your account.

    14. Data Protection

    14.1 We process personal data in accordance with the UK GDPR, the Data Protection Act 2018, and our Privacy Policy, which is available on our Site.
    14.2 In order to fulfil your order, we may share certain personal data with trusted third parties, including but not limited to carriers, couriers, payment service providers, and manufacturers. This is necessary to enable the processing, dispatch, and delivery of items, as well as to address any after-sales queries, returns, or warranty claims.
    14.3 We will only share personal data to the extent necessary to provide our services, comply with legal obligations, or protect our legitimate interests.

    15. Price Match Policy

    15.1 We may offer to match the price of an identical product from another UK-based retailer, subject to the following conditions:
    • The product must be identical in brand, model, size, colour, and specification.
    • The product must be new, unused, and in original packaging.
    • The competitor must have the item in stock and available for immediate purchase at the time of request.
    15.2 We will not match prices from:
    • Auction sites (including eBay), marketplace sellers (including Amazon Marketplace), private sellers, clearance outlets, or liquidation sales.
    • Special promotions, limited-time offers, “daily deals,” or bundle offers.
    • Pricing errors, misprints, or where the competitor’s price is below cost.
    15.3 Price matching applies to the product price only and excludes delivery, installation, or service fees.
    15.4 Price match requests must be made before purchase or within 24 hours of placing your Order.
    15.5 We reserve the right to refuse a price match at our sole discretion.

    16. Liability

    Consumers – We are liable for foreseeable losses caused by breach, but not for business losses.
    Businesses – Total liability is limited to the price paid for Goods. No liability for indirect or consequential loss.
    Nothing in these Terms limits liability for death, personal injury, fraud, or other non-excludable rights.

    17. Force Majeure

    We are not liable for delays or failure caused by events beyond our reasonable control, including strikes, supply shortages, extreme weather, or transport delays.

    18. Governing Law

    These Terms are governed by the laws of England & Wales, with exclusive jurisdiction of its courts.
